La soci\u00e9t\u00e9 existe toujours, mais elle \u00ab dort \u00bb en quelque sorte, sans exploitation active.<\/p>\n\n\n\n<p>Cette solution est utile si le dirigeant pense reprendre l\u2019activit\u00e9 plus tard, relancer un projet, attendre une reprise de march\u00e9 ou conserver la structure pour un d\u00e9veloppement futur. Elle \u00e9vite d\u2019entrer imm\u00e9diatement dans une proc\u00e9dure de dissolution et de liquidation.<\/p>\n\n\n\n<p>En revanche, la mise en sommeil n\u2019est pas une solution durable : elle est limit\u00e9e dans le temps, et \u00e0 l\u2019issue de cette p\u00e9riode, il faut soit reprendre l\u2019activit\u00e9, soit fermer la soci\u00e9t\u00e9.<\/p>\n\n\n<h2 class=\"wp-block-heading\" id=\"2-la-dissolution--dcider-de-fermer-dfinitivement-l\">La dissolution : d\u00e9cider de fermer d\u00e9finitivement la soci\u00e9t\u00e9<\/h2>\n\n\n<p>La dissolution correspond \u00e0 la d\u00e9cision de mettre fin \u00e0 la soci\u00e9t\u00e9. Elle marque le d\u00e9but de la fermeture d\u00e9finitive, mais elle ne suffit pas \u00e0 elle seule \u00e0 faire dispara\u00eetre la soci\u00e9t\u00e9 : il faut ensuite proc\u00e9der \u00e0 la liquidation.<\/p>\n\n\n\n<p>Autrement dit, la dissolution est la d\u00e9cision de principe, tandis que la liquidation est l\u2019ensemble des op\u00e9rations qui permettent de r\u00e9gler les dettes, vendre les actifs, cl\u00f4turer les comptes et r\u00e9partir le boni \u00e9ventuel entre les associ\u00e9s.<\/p>\n\n\n\n<p>La dissolution est donc le bon choix lorsque le dirigeant sait qu\u2019il ne souhaite plus jamais exploiter cette structure.<\/p>\n\n\n<h2 class=\"wp-block-heading\" id=\"3-comment-choisir-entre-les-deux\">Comment choisir entre les deux ?<\/h2>\n\n\n<p>Le choix d\u00e9pend de la situation concr\u00e8te.<\/p>\n\n\n\n<p>La mise en sommeil est adapt\u00e9e si :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>l\u2019arr\u00eat est temporaire ;<\/li>\n\n\n\n<li>le dirigeant veut garder la soci\u00e9t\u00e9 en r\u00e9serve ;<\/li>\n\n\n\n<li>il existe une chance s\u00e9rieuse de reprise d\u2019activit\u00e9 dans un d\u00e9lai raisonnable.<\/li>\n<\/ul>\n\n\n\n<p>La dissolution est pr\u00e9f\u00e9rable si :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>l\u2019activit\u00e9 est d\u00e9finitivement arr\u00eat\u00e9e ;<\/li>\n\n\n\n<li>la soci\u00e9t\u00e9 n\u2019a plus d\u2019utilit\u00e9 ;<\/li>\n\n\n\n<li>le dirigeant ne souhaite pas conserver des obligations administratives et comptables inutiles.<\/li>\n<\/ul>\n\n\n\n<p>En pratique, si la soci\u00e9t\u00e9 n\u2019a plus de v\u00e9ritable perspective, mieux vaut souvent dissoudre plut\u00f4t que de laisser une structure inerte pendant des ann\u00e9es.<\/p>\n\n\n<h2 class=\"wp-block-heading\" id=\"4-qui-dcide\">Qui d\u00e9cide ?<\/h2>\n\n\n<p>Pour la mise en sommeil, la d\u00e9cision revient en principe au repr\u00e9sentant l\u00e9gal. Selon les statuts, il peut \u00eatre n\u00e9cessaire de consulter ou faire approuver les associ\u00e9s en assembl\u00e9e g\u00e9n\u00e9rale. Il faut donc toujours relire les statuts avant d\u2019agir.<\/p>\n\n\n\n<p>Pour la dissolution, la d\u00e9cision doit \u00eatre prise par les associ\u00e9s, en assembl\u00e9e g\u00e9n\u00e9rale extraordinaire.
