Au contraire, il faut structurer l\u2019ensemble pour pouvoir g\u00e9rer s\u00e9par\u00e9ment la fin du contrat de travail et la sortie du capital.<\/p>\n\n\n\n<p><\/p>\n\n\n<h2 class=\"wp-block-heading\" id=\"dans-le-contrat-de-travail-clauses-a-prevoir\">Dans le contrat de travail : clauses \u00e0 pr\u00e9voir<\/h2>\n\n<h3 class=\"wp-block-heading\" id=\"a-clause-de-fonction-et-de-subordination-claire\">a) Clause de fonction et de subordination claire<\/h3>\n\n\n<p>Tout d\u2019abord, il est essentiel d\u2019\u00e9viter toute ambigu\u00eft\u00e9 sur la fonction du cadre associ\u00e9. Sans cela, il pourrait se comporter comme un \u00ab quasi dirigeant \u00bb difficile \u00e0 encadrer.<\/p>\n\n\n\n<p>Concr\u00e8tement, il faut :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>d\u00e9finir pr\u00e9cis\u00e9ment ses missions, son rattachement hi\u00e9rarchique et son p\u00e9rim\u00e8tre de d\u00e9cision ;<\/li>\n\n\n\n<li>rappeler explicitement que, m\u00eame associ\u00e9, il reste soumis au pouvoir de direction de l\u2019employeur.<\/li>\n<\/ul>\n\n\n<h3 class=\"wp-block-heading\" id=\"b-clause-de-remuneration-fixe-variable\">b) Clause de r\u00e9mun\u00e9ration (fixe + variable)<\/h3>\n\n\n<p>Ensuite, il convient de bien distinguer les sources de revenus. En effet, la participation au capital ne doit jamais se substituer au salaire.<\/p>\n\n\n\n<p>Il est donc recommand\u00e9 de :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>s\u00e9parer clairement le salaire (fixe, variable, avantages) des gains li\u00e9s au capital (dividendes, plus-value) ;<\/li>\n\n\n\n<li>\u00e9viter toute promesse contractuelle de dividendes ou de plus-values, qui deviendrait probl\u00e9matique en cas de difficult\u00e9s.<\/li>\n<\/ul>\n\n\n<h3 class=\"wp-block-heading\" id=\"c-clause-de-confidentialite-loyaute-concurrence\">c) Clause de confidentialit\u00e9, loyaut\u00e9, concurrence<\/h3>\n\n\n<p>Par ailleurs, un cadre associ\u00e9 acc\u00e8de souvent \u00e0 des informations sensibles. Il faut donc renforcer la protection de l\u2019entreprise.<\/p>\n\n\n\n<p>Dans cette logique, il est pertinent de :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>durcir les obligations de confidentialit\u00e9 (donn\u00e9es clients, marges, strat\u00e9gie, savoir-faire) ;<\/li>\n\n\n\n<li>pr\u00e9voir une obligation de loyaut\u00e9 renforc\u00e9e ;<\/li>\n\n\n\n<li>encadrer une \u00e9ventuelle clause de non-concurrence post-contrat, indemnis\u00e9e et proportionn\u00e9e.<\/li>\n<\/ul>\n\n\n\n<p>Enfin, il est indispensable d\u2019articuler ces clauses avec celles pr\u00e9vues dans les statuts ou le pacte d\u2019associ\u00e9s.<\/p>\n\n\n<h3 class=\"wp-block-heading\" id=\"d-clause-darticulation-contrat-de-travail-statut-dassocie\">d) Clause d\u2019articulation contrat de travail \/ statut d\u2019associ\u00e9<\/h3>\n\n\n<p>En compl\u00e9ment, il est judicieux d\u2019ins\u00e9rer une clause clarifiant les liens entre les deux statuts.<\/p>\n\n\n\n<p>Ainsi, on peut rappeler que :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>la rupture du contrat de travail n\u2019entra\u00eene pas automatiquement la perte de la qualit\u00e9 d\u2019associ\u00e9 ;<\/li>\n\n\n\n<li>la sortie du capital ob\u00e9it exclusivement aux statuts et au pacte d\u2019associ\u00e9s.<\/li>\n<\/ul>\n\n\n\n<p>L\u2019objectif est clair : \u00e9viter qu\u2019un juge prud\u2019homal doive trancher une question de capital mal encadr\u00e9e.<\/p>\n\n\n\n<p><\/p>\n\n\n<h2 class=\"wp-block-heading\" id=\"dans-les-statuts-le-pacte-organiser-lentree-et-la-sortie\">Dans les statuts \/ le pacte : organiser l\u2019entr\u00e9e et la sortie<\/h2>\n\n<h3 class=\"wp-block-heading\" id=\"a-clause-dagrement\">a) Clause d\u2019agr\u00e9ment<\/h3>\n\n\n<p>Pour commencer, il faut contr\u00f4ler l\u2019entr\u00e9e de nouveaux associ\u00e9s.<\/p>\n\n\n\n<p>\u00c0 ce titre, l\u2019entreprise peut :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>soumettre toute cession d\u2019actions \u00e0 une proc\u00e9dure d\u2019agr\u00e9ment ;<\/li>\n\n\n\n<li>pr\u00e9voir, si n\u00e9cessaire, un agr\u00e9ment all\u00e9g\u00e9 pour certaines structures (comme une holding personnelle).<\/li>\n<\/ul>\n\n\n\n<p>Ainsi, elle \u00e9vite l\u2019entr\u00e9e d\u2019un tiers ind\u00e9sirable au capital.<\/p>\n\n\n<h3 class=\"wp-block-heading\" id=\"b-clause-de-preemption\">b) Clause de pr\u00e9emption<\/h3>\n\n\n<p>Ensuite, la clause de pr\u00e9emption permet aux associ\u00e9s en place de garder la main.<\/p>\n\n\n\n<p>Concr\u00e8tement, elle impose :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>une notification du projet de cession ;<\/li>\n\n\n\n<li>un droit prioritaire d\u2019achat aux m\u00eames conditions.<\/li>\n<\/ul>\n\n\n\n<p>De cette mani\u00e8re, les associ\u00e9s conservent le contr\u00f4le de l\u2019actionnariat.<\/p>\n\n\n\n<p><\/p>\n\n\n<h2 class=\"wp-block-heading\" id=\"clauses-de-leaver-anticiper-le-depart\">Clauses de \u00ab leaver \u00bb : anticiper le d\u00e9part<\/h2>\n\n\n<p>Il s\u2019agit ici du point le plus strat\u00e9gique. Autrement dit : que se passe-t-il lorsque le cadre quitte l\u2019entreprise ?<\/p>\n\n\n<h3 class=\"wp-block-heading\" id=\"a-definir-les-situations-good-leaver-bad-leaver\">a) D\u00e9finir les situations : good leaver \/ bad leaver<\/h3>\n\n\n<p>Tout d\u2019abord, il faut cat\u00e9goriser les situations.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Le&nbsp;<strong>good leaver<\/strong>&nbsp;correspond \u00e0 un d\u00e9part l\u00e9gitime ou subi (maladie, retraite, licenciement \u00e9conomique, etc.).<\/li>\n\n\n\n<li>Le&nbsp;<strong>bad leaver<\/strong>&nbsp;vise les d\u00e9parts fautifs ou d\u00e9loyaux (faute grave, concurrence, d\u00e9part brutal).<\/li>\n<\/ul>\n\n\n\n<p>Ces cat\u00e9gories doivent \u00eatre d\u00e9finies avec pr\u00e9cision.<\/p>\n\n\n<h3 class=\"wp-block-heading\" id=\"b-mecanisme-de-rachat-obligatoire\">b) M\u00e9canisme de rachat obligatoire<\/h3>\n\n\n<p>Ensuite, il faut organiser la sortie du capital.<\/p>\n\n\n\n<p>L\u2019entreprise peut pr\u00e9voir que le cadre devra c\u00e9der ses titres :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u00e0 la soci\u00e9t\u00e9 (si possible juridiquement) ;<\/li>\n\n\n\n<li>ou aux autres associ\u00e9s.<\/li>\n<\/ul>\n\n\n\n<p>Dans la pratique :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>un good leaver c\u00e8de ses titres \u00e0 une valeur proche du march\u00e9 ;<\/li>\n\n\n\n<li>un bad leaver subit une d\u00e9cote, parfois tr\u00e8s significative.<\/li>\n<\/ul>\n\n\n\n<p>Ainsi, l\u2019entreprise \u00e9vite de rester li\u00e9e \u00e0 un associ\u00e9 en conflit, tout en pr\u00e9servant une certaine \u00e9quit\u00e9.<\/p>\n\n\n\n<p><\/p>\n\n\n<h2 class=\"wp-block-heading\" id=\"nonconcurrence-et-nonsollicitation-cote-associe\">Non-concurrence et non-sollicitation c\u00f4t\u00e9 associ\u00e9<\/h2>\n\n\n<p>Au-del\u00e0 du contrat de travail, les statuts ou le pacte peuvent \u00e9galement encadrer le comportement post-sortie.<\/p>\n\n\n\n<p>Ils peuvent notamment pr\u00e9voir :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>une interdiction de concurrencer la soci\u00e9t\u00e9 ;<\/li>\n\n\n\n<li>une interdiction de solliciter salari\u00e9s et clients.<\/li>\n<\/ul>\n\n\n\n<p>Cependant, ces clauses doivent rester proportionn\u00e9es (dur\u00e9e, zone, activit\u00e9) et coh\u00e9rentes avec celles du contrat de travail.<\/p>\n\n\n\n<p><\/p>\n\n\n<h2 class=\"wp-block-heading\" id=\"droits-politiques-encadrer-le-pouvoir\">Droits politiques : encadrer le pouvoir<\/h2>\n\n\n<p>Par ailleurs, il est souvent n\u00e9cessaire de limiter l\u2019influence d\u2019un cadre minoritaire.<\/p>\n\n\n\n<p>Pour cela, l\u2019entreprise peut :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>attribuer des actions sans droits particuliers ou sans droit de vote ;<\/li>\n\n\n\n<li>fixer des r\u00e8gles de majorit\u00e9 adapt\u00e9es ;<\/li>\n\n\n\n<li>pr\u00e9voir des clauses de r\u00e9vision de la participation.<\/li>\n<\/ul>\n\n\n\n<p>L\u2019objectif est simple : permettre l\u2019association au capital sans cr\u00e9er un \u00ab co-dirigeant \u00bb involontaire.<\/p>\n\n\n<h2 class=\"wp-block-heading\" id=\"valorisation-et-liquidite-prevenir-les-blocages\">Valorisation et liquidit\u00e9 : pr\u00e9venir les blocages<\/h2>\n\n\n<p>Enfin, il faut anticiper la sortie d\u00e8s l\u2019entr\u00e9e.<\/p>\n\n\n\n<p>Deux \u00e9l\u00e9ments sont essentiels :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>une m\u00e9thode claire de valorisation (formule ou expert ind\u00e9pendant) ;<\/li>\n\n\n\n<li>un m\u00e9canisme minimal de liquidit\u00e9 (possibilit\u00e9 de sortie, organisation d\u2019un rachat, etc.).<\/li>\n<\/ul>\n\n\n\n<p>\u00c0 d\u00e9faut, deux risques apparaissent :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>un cadre bloqu\u00e9 avec ses titres ;<\/li>\n\n\n\n<li>ou un conflit majeur sur le prix de sortie.<\/li>\n\n\n\n<li><\/li>\n<\/ul>\n\n\n<h2 class=\"wp-block-heading\" id=\"conclusion\">Conclusion<\/h2>\n\n\n<p>En d\u00e9finitive, int\u00e9grer un cadre au capital impose de construire une double architecture coh\u00e9rente : celle du salari\u00e9 et celle de l\u2019associ\u00e9.<\/p>\n\n\n\n<p>Ainsi, les clauses doivent couvrir trois moments cl\u00e9s
